Terms of Service

1. Acceptance & eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. You represent that you are not located in, ordinarily resident in, or a national of any country or region where use of the Service is prohibited by applicable law, sanctions, or regulation, and that you are not on any sanctioned-party or restricted-persons list. You are responsible for determining whether your use of the Service is lawful in your jurisdiction.

2. What the Service is (and is not)

YAP is a social interface for trading digital tokens on the Solana blockchain. Trades are routed through the Jupiter aggregator and executed on-chain against third-party liquidity venues. YAP is a software interface, not a broker, dealer, exchange, custodian, or investment adviser.

YAP does not custody your funds. Your account uses an embedded, user-controlled wallet provided by Privy. Private keys are held on your behalf by Privy under Privy’s terms — YAP never has access to your private keys or seed phrase and cannot move your assets. You are responsible for keeping access to your wallet secure.

Certain features rely on third-party services outside our control, including but not limited to the Solana network and its validators, the Jupiter aggregator, Privy, RPC providers (e.g. Helius), market-data providers (e.g. Dexscreener, GeckoTerminal), Cloudflare, and Supabase. Their availability, performance, and pricing may change without notice.

3. Fees

YAP uses a side-aware platform fee. Buys: 0.5% per trade with a minimum fee of $0.95 — trades below approximately $190 pay the flat $0.95, and larger trades pay 0.5% of the trade notional. The fee is included in the total amount you enter and shown before every trade. The minimum buy size is $2. Sells: a flat 1% of proceeds, with no minimum fee and no minimum trade size, so dust or rugged positions can always be exited. The sell fee is taken out of proceeds as part of the same on-chain transaction.

In addition to the YAP platform fee, every on-chain transaction incurs Solana network fees (paid in SOL), and third-party services may charge their own fees (e.g. priority fees, liquidity-pool fees embedded in a swap route). YAP does not receive these third-party or network fees.

We may change our fee terms from time to time. Any material change will be communicated in-app or through the Service in advance of taking effect. Your continued use of the Service after a fee change takes effect constitutes acceptance of the new terms.

4. Risk disclosure

Trading digital assets — and memecoins in particular — is extremely high-risk. Prices can move by very large percentages in short periods of time. You may lose some, all, or more than the value of the funds you commit. Only trade with amounts you can afford to lose entirely.

• Digital assets are volatile and often illiquid. Total loss is possible.
• Past performance is not indicative of future results. Nothing that happened yesterday tells you what will happen next.
• Blockchain transactions are irreversible. Once a transaction is confirmed on Solana, it cannot be undone, reversed, or refunded by YAP.
• You are solely responsible for your trading decisions, for evaluating the tokens you interact with, and for the tax and legal consequences of your activity.
• Smart-contract and third-party infrastructure risks apply — including the risk that a token, pool, aggregator, wallet provider, RPC provider, or dependency contains bugs, is exploited, is malicious, or ceases to operate.

5. Not financial advice

Nothing on the Service is investment, financial, legal, tax, or accounting advice, and nothing on the Service is a recommendation, offer, or solicitation to buy, sell, or hold any digital asset. This includes, without limitation: trending lists, leaderboards, safety scores, copy-trading signals, other users’ trades, posts, messages, room activity, and any AI-generated summaries. You should conduct your own research and, where appropriate, consult a qualified professional before making any financial decision.

6. Copy trading, tips, and referrals

The Service may allow you to mirror another user’s trades (“copy trading”), send tips, and participate in a referral program. Deciding to copy another user, to tip them, or to act on any signal is entirely your own decision and your own risk. Traders you copy are not employees, agents, or advisers of YAP, and YAP does not endorse or vet their strategies or performance.

Referral rewards accrue according to the program as described in-app and may be modified, capped, delayed, or discontinued at our discretion. Rewards obtained through fraud, self-referral, abuse, or violation of these Terms may be withheld or reversed.

7. Prohibited conduct

You agree not to, and not to attempt to:

• Engage in market manipulation, wash trading, spoofing, pump-and-dump schemes, or any other deceptive trading practice.
• Use the Service to commit fraud, launder funds, finance terrorism, evade sanctions, or engage in any unlawful activity.
• Access, use, or attempt to use the Service from a jurisdiction where its use is prohibited, or on behalf of any sanctioned party.
• Exploit bugs, race conditions, or vulnerabilities, or use the Service in a way that is designed to circumvent, reduce, or evade fees.
• Interfere with, overload, or disrupt the Service, its infrastructure, or other users’ use of the Service — including by scraping, automated abuse, or denial-of-service attacks.
• Impersonate any person, misrepresent your affiliation, or use another user’s account.
• Post or transmit content that is unlawful, defamatory, harassing, hateful, sexually exploitative, or infringes intellectual-property or privacy rights.

We may investigate suspected violations and take any action we consider appropriate, including removing content, rate-limiting activity, suspending or terminating accounts, withholding referral rewards, and cooperating with law enforcement.

8. User content

You retain ownership of the posts, messages, room content, profile information, and other content you submit through the Service (“User Content”). By submitting User Content, you grant YAP a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting and display), display, and distribute that content in connection with operating and promoting the Service.

You are solely responsible for your User Content and represent that you have all necessary rights to submit it. We may remove or restrict User Content that violates these Terms or that we determine, in our reasonable discretion, is harmful, unlawful, or abusive.

9. Disclaimers & limitation of liability

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation.

YAP does not warrant the accuracy or completeness of any price, chart, market data, safety score, leaderboard, or user-generated content shown in the Service. Third-party services — including the Solana network, Jupiter, Privy, RPC providers, market-data providers, and hosting infrastructure — are outside our control, and we are not responsible for their acts, omissions, downtime, or failures.

To the maximum extent permitted by applicable law, YAP and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or trading losses, arising out of or relating to your use of the Service, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

10. Termination & changes

You may stop using the Service at any time. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or to protect the Service or its users. Sections that by their nature should survive termination (including risk disclosure, disclaimers, limitations of liability, and dispute-resolution provisions) will survive.

We may modify these Terms from time to time. If a change is material, we will make reasonable efforts to notify you (for example, in-app or by updating the “Last updated” date above). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
